The short version: RepVault is a tool to help you manage credentials and plan your day. Use it professionally, don't abuse the community, and keep your own backups of critical documents. We'll keep building and improving the app for you.
1. Acceptance of Terms
By creating an account or using RepVault ("the App"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the App. These Terms constitute a legally binding agreement between you and RepVault ("we," "us," "our").
2. Description of Service
RepVault is a mobile application that helps field sales representatives manage professional credentials, track facility visits, plan daily activities, and connect with other reps through an anonymous community. The App includes credential scanning, document storage, territory mapping, task planning, and community features.
3. Account Registration
To use RepVault, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current information and to notify us immediately of any unauthorized access to your account.
You must be at least 18 years old to create an account and use RepVault.
4. Your Content and Data
Ownership: You retain full ownership of all content you upload to RepVault, including credential documents, facility information, visit records, and community posts. We do not claim any ownership rights over your content.
License: By uploading content, you grant us a limited license to store, process, display, and transmit your content solely for the purpose of providing the RepVault service to you. For community posts and facility reviews, you grant us a license to display this content to other RepVault users.
Responsibility: You are solely responsible for the accuracy and legality of the content you upload. RepVault is a tracking and organizational tool — we do not verify the validity, authenticity, or compliance status of any credential documents stored in the App.
5. Acceptable Use
You agree not to use RepVault to:
- Upload fraudulent, falsified, or illegally obtained documents
- Impersonate another person or misrepresent your professional credentials
- Post harassing, abusive, threatening, discriminatory, or defamatory content in the community
- Spam, solicit, or advertise products or services in the community feed
- Attempt to access other users' data or circumvent security measures
- Reverse engineer, decompile, or otherwise attempt to extract the source code of the App
- Use the App for any purpose that violates applicable local, state, national, or international law
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Community Guidelines
The RepVault community is designed for professional field reps to share facility intel and help one another. When participating in the community, you agree to:
- Keep discussions relevant to facility credentialing, visits, and field sales
- Be respectful and constructive in posts and replies
- Not share confidential patient information, proprietary business data, or trade secrets
- Not post content that is false or intentionally misleading
- Report content that violates these guidelines
We may remove content and suspend accounts that violate community guidelines at our discretion.
7. Important Disclaimers
Not a compliance service: RepVault is an organizational tool. It does not guarantee compliance with any facility, hospital system, credentialing body, or regulatory requirement. You remain solely responsible for ensuring your credentials are valid and current. Expiration alerts and status indicators are based on data you provide and may not reflect actual credential status.
Not a backup service: While we take reasonable steps to protect your data, you should maintain independent copies of all important credential documents. We are not responsible for data loss due to account deletion, service interruption, or technical failure.
No medical or legal advice: RepVault does not provide medical, legal, or professional compliance advice. The App's features, including AI-powered scanning, are tools to assist your workflow and should not be relied upon as authoritative determinations of credential validity.
8. Subscription and Payments
RepVault may offer free and paid subscription tiers. Paid subscriptions are billed through Apple's App Store or Google Play Store and are subject to their respective terms and refund policies. Subscription prices may change with reasonable notice. You can cancel your subscription at any time through your device's subscription management settings.
9. Intellectual Property
The RepVault app, including its design, code, features, branding, and documentation, is owned by RepVault and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand assets. You may not copy, modify, distribute, or create derivative works based on the App.
10. Service Availability
We strive to keep RepVault available and reliable, but we do not guarantee uninterrupted or error-free service. We may temporarily suspend the App for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
11. Limitation of Liability
To the maximum extent permitted by law, RepVault shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App. This includes, but is not limited to, damages from credential expiration, facility access denial, lost revenue, data loss, or reliance on App-generated information.
Our total liability for any claims related to the App shall not exceed the amount you paid for RepVault in the twelve months preceding the claim, or $100, whichever is greater.
12. Indemnification
You agree to indemnify and hold harmless RepVault, its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the App, violation of these Terms, or infringement of any third-party rights.
13. Termination
You may terminate your account at any time through the App's Settings. We may terminate or suspend your account for violation of these Terms, with or without notice. Upon termination, your right to use the App ceases immediately. Sections 7, 11, 12, and 14 survive termination.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of RepVault shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the State of Georgia. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes through the App or via email. Continued use of RepVault after changes take effect constitutes acceptance of the updated Terms. If you do not agree with the changes, you should stop using the App and delete your account.
